GENERAL TERMS AND CONDITIONS

This website is owned and operated by Desseign Things by Esse. These terms and conditions (the “Terms”) apply to desseignthings.com (the “Website”) and form the terms and conditions on which Desseign Things (“we”, “us” and “our”) provides any products and/or services to the Buyer (“you”). Please take the time to read through the Terms before you use and/or access the Website. By using the Website and/or any services provided by us and/or purchasing any products from us, you indicate that you have acknowledged, understood, and agree to adhere to the Terms.

We reserve the right to update, amend or replace any part of the Terms by posting the revised Terms here. You should check this page frequently to review the most current version of the Terms and to see if there are any updates or changes to the Terms. Your continued use of or access to the Website following the posting of any changes constitutes your acceptance to the Terms posted.

The Website may contain links to third party websites that are not affiliated with or owned, operated, or controlled by us, including third-party service providers. You acknowledge and agree that we are not responsible for the content, terms and conditions, privacy policies, or practices of such third party websites or the companies that own them. By using the Website, you expressly relieve us from any liability arising from your access and use of any such third party website.

PRODUCTS AND SERVICES

We reserve the right to accept or decline any and all orders received from or through the Website at our sole and absolute discretion. If you wish to purchase any product or service from us (“Purchase”), you may be asked to supply certain information relevant to your Purchase without limitation.

You may place an order with us by completing and submitting the order form on the Website. It is your responsibility to ensure that your order and all information provided to us is accurate.

We will notify you if we are unable to accept and/or process your order for any reason including, without limitation, if the product(s) in your order is out of stock or is unavailable, if a credit reference we have obtained for you does not meet our minimum requirements, if there are limitations on our resources for which we could not reasonably plan, if we have identified an error in the price and/or description of the product, or if we are unable to meet a delivery deadline or other request you have specified.

The price payable by you for a product shall be the price listed for sale as stated on the Website at the time your order is transmitted to us through the Website, together with any applicable taxes. For the avoidance of doubt, you shall be responsible for the payment of any and all taxes or duties levied or charged on your order. We reserve the right to amend the price of any product at any time without giving any reason or prior notice. Please complete payment within twelve hours from the time your order was placed. Any unpaid orders after this payment time-frame shall be deemed cancelled unless we determine otherwise in our discretion. In the event that any product has been mispriced on the Site, we reserve the right to terminate the order and notify you of such termination, regardless of whether or not the products have been dispatched or are in transit and whether payment has been charged to you.

PRODUCT DESCRIPTIONS AND PRICING

We endeavour to be as accurate as practicably possible in our descriptions of the products available for purchase through the Website. However, our products may vary from their pictures on the Website and the colours of the products may appear slightly different physically due to studio lighting conditions, or variances in computer screen calibration. While the images of the products on our Website are for illustrative purposes only, we will strive to ensure that the images and product colours are true to life as much as possible. We do not warrant that product descriptions or other content on the Website are accurate, complete, reliable, current, or error-free.

The prices displayed on the website are subject to change and we reserve the right to change these at any time. In rare cases, the price quoted for a Product may be displayed incorrectly. We will aim to rectify any such error as quickly as possible and will notify you of the correct price. We are under no obligation to provide the Product to you at the incorrect price, even after an Order Confirmation Email has been sent.

DRAFTS, PROOFS AND FINALISED PRODUCTS

Great care is taken to ensure that all information in the design is accurate, and that the design is in line with the order form and/or design brief. However, you are still entitled to 2 revisions to the product design that you have selected. Revisions and edits should not be substantively different from the order form or design brief. We reserve the right to accept or reject substantive changes to the design.

PDF proofs and a final draft will be sent via email. It is ultimately the responsibility of the client to check the layout, copy, design, punctuation, spelling and grammar before approving the design. Once approved, your stationery will be printed exactly as shown in the final proofs.

If designs are approved with typing errors and are subsequently printed, Desseign Things cannot be held liable. If reprinting is required, you will be charged for the additional printing in full. It is therefore of the utmost importance that you check the final draft thoroughly before approving any designs.

PRINT QUALITY AND MATERIALS

While we always endeavour to get an exact colour match on prints, there is always a possibility of colour variations or print discrepancies, especially for orders printed in different batches. This could be due to items being printed under different conditions. You can consider including a few extra invitations in your order to avoid printing a new batch at a later date. This also applies to differences between samples and final printed items. 

Your final stationery will be printed on the highest quality professional print method which means that colours may differ slightly from the final draft. Colours could also vary slightly due to variances in computer screen calibrations. The client accepts that minor variations could occur and does not constitute a breach of contract.

Orders are subject to availability of materials. In the event of supply difficulties, Desseign Things will inform the client and discuss alternative materials or designs.

CANCELLATION AND TERMINATIONS

No order may be canceled, terminated or altered by you except on terms and conditions accepted in writing by Desseign Things. A refund will be made to you within a reasonable timeframe upon acceptance of cancellation.

We may also terminate an order at any time by written notice to you if you 

1. You do not make payment to us when it is due 
2. You do not, within a reasonable time, provide us with information necessary for us to provide you with any product(s) or service(s) such as your delivery address
3. You breach or do not comply with any of the terms and conditions of the Terms

If we terminate your order in the situations set out above, we will refund any money you have paid in advance for any product(s) we have not provided, but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

In addition, we may terminate our contract with you at any time by providing you with reasonable written notice.

INTELLECTUAL PROPERTY

All intellectual property rights in and to the content on the Website and any material published in it is owned by or lawfully licensed to, us and we reserve and retain all rights to such material. You shall not, without our prior written consent, copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or deal with any content or material from the Website in any form or by any means. The name Desseign Things or Desseign Things by Esse or any of our marks may not be used in any way, including in any advertising, poster, hyperlink, electronic direct mail or publicity material, without our prior written consent.

MARKETING AND SOCIAL MEDIA

We reserve the right to use any stationery or designs created for the client to promote our products and services. This includes photographing and using them on social media and our website, including them in sample packs and displaying them at fairs, expos and events.

INDEMNITIES

You agree to indemnify us and hold us and our partners, affiliates, agents and representatives harmless from any claims, losses, damages, costs and expenses arising out of your access of, use of and/or participation in the Website, including (a) any claims of infringement of a third party’s rights; (b) damage to tangible property, bodily injury, or death; (c) negligence or willful misconduct caused or attributable to you or any of your agents; and (d) breaches of your obligations under the Terms.
